This Privacy Policy (“Policy”) describes the information collection, use, disclosure, retention, and security practices of NEXUS CLINICAL, LLC, a North Carolina limited liability company (“Company”), with respect to its website, software platform, applications, networking events, and related services (collectively, the “Platform”).

This Policy forms an integral part of Company’s Terms of Service and governs all access to and use of the Platform.

Article I

Purpose

The Company operates a marketing and networking platform designed to facilitate professional relationships between event patrons, sponsors, exhibitors, and business partners.

The purpose of this Policy is to provide transparency regarding the collection, processing, use, licensing, disclosure, storage, and protection of information obtained through the Platform.

Article II

Information Collected

Section 2.1 — User Information

Company may collect information voluntarily provided by users, including:

  • (a)full name;
  • (b)employer or business affiliation;
  • (c)professional title;
  • (d)electronic mail address;
  • (e)telephone number;
  • (f)mailing address;
  • (g)professional interests;
  • (h)event registration information;
  • (i)sponsorship information; and
  • (j)communications submitted through the Platform.

Section 2.2 — Technical Information

Company may automatically collect technical information including:

  • (a)Internet Protocol addresses;
  • (b)browser information;
  • (c)operating system information;
  • (d)device identifiers;
  • (e)cookie identifiers;
  • (f)Platform usage information;
  • (g)analytics information; and
  • (h)log data.

Section 2.3 — Event Information

Company may collect information relating to event participation, including attendance status, registration history, networking preferences, survey responses, and engagement with Platform features.

Article III

Use of Information

Company may collect and process information for legitimate business purposes, including:

  • (a)operating and improving the Platform;
  • (b)administering networking events;
  • (c)processing sponsorships and registrations;
  • (d)facilitating professional networking opportunities;
  • (e)communicating with users;
  • (f)conducting marketing activities;
  • (g)maintaining Platform security;
  • (h)complying with legal obligations; and
  • (i)protecting the rights, property, and interests of Company and its users.

Article IV

Sponsor Networking and Data Licensing

Section 4.1 — Business Purpose

The Platform is designed to facilitate business networking between patrons and sponsors.

Accordingly, users acknowledge that certain information may be made available to event sponsors for legitimate networking and marketing purposes.

Section 4.2 — Information Subject to License

Subject to applicable law and this Policy, Company may license access to information including:

  • (a)name;
  • (b)employer;
  • (c)professional title;
  • (d)electronic mail address;
  • (e)industry information;
  • (f)networking preferences; and
  • (g)event participation information.

Section 4.3 — Ownership

All attendee information remains subject to the rights of the applicable attendee and Company.

Company licenses limited access to sponsors and does not transfer ownership of attendee information.

Section 4.4 — Sponsor Restrictions

Sponsors receiving access to attendee information are contractually prohibited from:

  • (a)selling attendee information;
  • (b)publishing attendee information;
  • (c)transferring attendee information to unauthorized third parties;
  • (d)creating competing databases; or
  • (e)using attendee information for unlawful purposes.

Article V

Marketing Communications

Company may communicate with users regarding:

  • (a)Platform updates;
  • (b)networking events;
  • (c)sponsorship opportunities;
  • (d)industry information;
  • (e)promotional activities; and
  • (f)business communications.

Users may opt out of Company marketing communications at any time through available unsubscribe mechanisms.

Article VI

Cookies, Analytics, and Platform Technologies

Company utilizes cookies and similar technologies to:

  • (a)authenticate users;
  • (b)improve Platform functionality;
  • (c)analyze Platform performance;
  • (d)remember user preferences; and
  • (e)enhance user experience.

Users may modify browser settings to limit cookie usage, although certain Platform functionality may be affected.

Article VII

Data Retention

Company retains information for periods reasonably necessary to:

  • (a)operate the Platform;
  • (b)facilitate networking services;
  • (c)comply with legal obligations;
  • (d)resolve disputes;
  • (e)enforce contractual rights; and
  • (f)maintain business records.

Archived information may be retained beyond account termination where legally permissible.

Article VIII

Information Security

Company maintains commercially reasonable administrative, technical, and physical safeguards designed to protect information maintained through the Platform.

Notwithstanding such safeguards, no electronic transmission or storage system can be guaranteed to be completely secure, and Company disclaims any guarantee of absolute security.

Article IX

User Rights

Subject to applicable law, users may request:

  • (a)access to information maintained by Company;
  • (b)correction of inaccurate information;
  • (c)deletion of certain information;
  • (d)withdrawal of marketing consent; or
  • (e)additional information concerning Company's information practices.

Article X

Third-Party Services

The Platform may integrate with or provide links to third-party websites, payment processors, analytics providers, and service providers.

Company is not responsible for the privacy practices of independent third parties.

Article XI

Modifications

Company reserves the right to amend this Policy at any time.

Revisions become effective upon publication on the Platform unless otherwise stated.

Continued use of the Platform constitutes acceptance of the revised Policy.

Article XII

Governing Law

This Policy shall be governed by the laws of the State of North Carolina without regard to conflict-of-law principles.

BY ACCESSING THE PLATFORM, CREATING AN ACCOUNT, REGISTERING FOR AN EVENT, OR SUBMITTING INFORMATION TO COMPANY, USER ACKNOWLEDGES THAT USER HAS READ THIS PRIVACY POLICY AND CONSENTS TO THE COLLECTION, USE, DISCLOSURE, LICENSING, RETENTION, AND PROCESSING OF INFORMATION AS DESCRIBED HEREIN.
